Eni S.p.A. was one of the first European companies to produce a code governing its conduct in business matters – the Eni Code of Ethics. The first version dates back to 1994. Eni's Code of Ethics clearly defines the values and principles guiding corporate behaviour both within and outside the Eni Group.
The aim of the Code is to ensure that all company business is carried out in compliance with prevailing regulations within a framework of loyal competition, honesty, integrity, correctness and good faith, and with respect for the legitimate interests of all stakeholders with whom Eni comes into contact on a daily basis. These include shareholders, employees, suppliers, customers, commercial and financial partners and, finally, local communities and institutions in the countries where Eni conducts its business.
The functions of the Guarantor of the Code of Ethics are carried out by the Watch Structure established within Eni S.p.A.
Eni Model 231
Eni S.p.A.'s new Model 231 includes a Code of Ethics and provides a coherent set of principles, rules and provisions targeted at creating and managing a system of control and monitoring of sensitive activities designed to prevent perpetration of the offences set out in the Italian Legislative Decree no. 231 of 2001 which introduced to the Italian legal system the provision concerning the administrative liability of legal entities.
The task of monitoring the correct application and management of Model 231 has been assigned to the Watch Structure of Eni S.p.A. In this regard, the Eni Norge Board of Directors has approved and implemented the “Eni Norge Model AS 231” and has appointed an Eni Norge Watch Structure consisting of three members.
